1. Acceptance of Terms

By accessing or using any website, product, or service provided by OmniFusion AI - FZCO ("OmniFusion AI," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. We reserve the right to update or modify these Terms at any time. Your continued use of our services following any changes constitutes acceptance of the revised Terms.

2. Description of Services

OmniFusion AI provides done-for-you AI sales systems, software products, automation services, and related consulting for businesses. Our services include, but are not limited to:

  • AI-powered sales systems for direct messaging and lead qualification.
  • Software-as-a-Service (SaaS) products for lead generation, CRM, and DM management.
  • Custom automation workflows and integrations.
  • Strategic consulting and implementation services.

The specific scope, deliverables, and timelines for any engagement will be outlined in a separate service agreement or statement of work between you and OmniFusion AI.

3. User Obligations

By using our services, you agree to:

  • Provide accurate, current, and complete information during registration, onboarding, or any interaction with our services.
  • Maintain the security and confidentiality of your account credentials.
  • Use our services only for lawful purposes and in compliance with all applicable laws and regulations.
  • Not reproduce, duplicate, copy, sell, resell, or exploit any portion of our services without express written permission.
  • Not attempt to reverse-engineer, decompile, or disassemble any technology or proprietary systems provided by OmniFusion AI.
  • Not use our services to transmit harmful, offensive, or illegal content.
  • Comply with all platform terms of service for third-party integrations used in connection with our services (e.g., Instagram, Meta, ManyChat, GoHighLevel).

4. Payment Terms

Payment terms are as follows unless otherwise specified in a separate written agreement:

  • All fees are quoted in United States Dollars (USD) unless stated otherwise.
  • Setup fees are due in full prior to the commencement of work.
  • Monthly retainers are billed at the beginning of each billing cycle and are due upon receipt.
  • Late payments may incur a fee of 1.5% per month on the outstanding balance.
  • All payments are non-refundable unless explicitly stated in your service agreement.
  • We reserve the right to suspend or terminate services for accounts with overdue payments.

5. Intellectual Property

All content, technology, systems, workflows, brand assets, and materials created by or belonging to OmniFusion AI remain our exclusive intellectual property. This includes, but is not limited to, our AI models, automation workflows, software code, training data, branding, website content, and documentation.

You retain ownership of any content, data, or materials you provide to us for the purpose of delivering our services. By providing such content, you grant us a limited, non-exclusive license to use it solely for service delivery.

Custom deliverables created specifically for your engagement (such as tailored AI conversation flows) are licensed to you for use in connection with our services. Full ownership terms will be specified in your service agreement.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • OmniFusion AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.
  • Our total liability arising from or related to these Terms or your use of our services shall not exceed the total fees paid by you to OmniFusion AI in the twelve (12) months preceding the claim.
  • We do not guarantee specific results, revenue increases, or business outcomes from our services. Performance depends on many factors outside our control, including your business operations, market conditions, and audience engagement.
  • We are not responsible for any actions, penalties, or account restrictions imposed by third-party platforms (e.g., Instagram, Meta, ManyChat) resulting from your use of our services.

7. Indemnification

You agree to indemnify, defend, and hold harmless OmniFusion AI - FZCO, its founders, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of our services.
  • Your violation of these Terms or any applicable law.
  • Your infringement of any third-party rights.
  • Any content or data you provide to us.

8. Termination

Either party may terminate the service relationship as follows:

  • You may cancel your subscription or service by providing written notice as specified in your service agreement.
  • We may suspend or terminate your access to our services immediately if you breach these Terms or fail to make timely payments.
  • Upon termination, your access to our services, systems, and deliverables will be revoked unless otherwise agreed in writing.
  • Sections related to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict of law principles.

Any disputes arising from or related to these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE.
